By signing up the website form for the Angelportal444 Affiliate Program you are automatically bound by the terms of this agreement.
This Agreement is between Bio Research Group NV (“BRG”) and the “Affiliate”.(ABC”) The ABC and “BRG agree as follows:    
ABC shall fulfill the obligations required of the ABC under this Terms and Conditions
This Agreement is a binding contract between ABC (The Affiliate) and BRG and is effective as of the date of activation of ABC in the affiliate system through BRG (Effective Date).

CONDITIONS AND AGREEMENTS

1. GRANT
   BRG grants to ABC the  right to legally advertise the BRG’s websites and products.
2. MARKETING
   ABC will make reasonable efforts to promote the products and to advertise the website of BRG.
3. Payment
   BRG shall pay ABC on a bank account assigned by ABC quarterly commission payments calculated by multiplying the agreed percentage of the net revenue on products purchased by ABC’s referral individuals during the applicable quarter with deduction of bank transfer expenses. This will be under supervision of a Registered Accountant engaged by BRG. Payment will not be  rendered for amounts less than € 25,00, in that case the amount will be carried to the next quarter.
   Taxes and Other Charges
   ABC shall pay any applicable sales, income tax , value-added or other similar taxes, duties or assessments, or amounts levied in lieu of such taxes, now or later imposed.
4. AFFILIATE LINKS
   ABC may use graphic and text links both on ABC’s Web Site and emails. The BRG site may also be advertised “offline” in classified ads, magazines and newspapers. ABC may use the graphics and text provided by BRG.
5. AFFILIATE TRACKING.
   When a Web surfer clicks through the AFFILIATE link, a cookie is set in their browser that contains the AFFILIATE username. Also their IP address is tracked in the database along with the AFFILIATE name. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the AFFILIATE who will be awarded the commission. Visitors send through the AFFILIATE link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or they are using the same IP address as the one logged in the database. 
6. LIMITED WARRANTY
   BRG represents and warrants that it has the right and authority under all applicable international laws to distribute products in the Territory on the terms of this Agreement.  ABC agrees and warrants that it will comply with all local, state and federal laws (including, but not limited to, the “CAN-SPAM”Act).
7. No Other Warranties EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION.
8. INDEMNIFICATION
   ABC will defend BRG against and hold it harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys’ fees, arising out of (i) the (internet) marketing actions of ABC.
9. INTELLECTUAL PROPERTY RIGHTS
   Website names, trademarks, logos
   ABC acknowledges  BRG’s and its licensors’ exclusive right, title and interest in any and all trademarks and trade names, patents, and copyrights, and any other proprietary or intellectual rights, pertaining to the website, the internetshop and marketing.
10. CONFIDENTIALITY
    Confidential Information
    Neither party shall directly or indirectly communicate to any person or other entity any confidential information unless such information is already known by the receiving party,.  Nothing herein will prohibit the receiving party from disclosing confidential information if the receiving party is required to disclose such information pursuant to law or court order.
11. PROTECTION.
    Both parties agree to use such confidential information only in its performance under this Agreement and shall treat and protect such information in the same manner as it treats its own information of like character, but with not less than reasonable care. 
12. TERM AND TERMINATION
    Term
    The initial term of this Agreement shall commence on the Effective Date and continue for unlimited time, unless terminated by a party hereto upon written notice per email not later than seven (7) days prior to Termination.
    Termination for Default
    Either party may terminate this Agreement in the event of a material breach by the other party of any term and condition of this Agreement upon seven (7) days prior written notice per email and failure to cure such breach. 
13. GENERAL
    Representations
    Each party represents that this Agreement is the legal, valid and binding obligation of such party enforceable against such party in accordance with this terms.
    Assignment
    Neither party shall have the right to assign or otherwise transfer its rights or delegate its duties under this Agreement without the express written consent of the other party. 
    Notices
    All notices and other communications under this Agreement shall be in writing by registered or certified mail, postage prepaid, overnight courier or electronic facsimile to the receiving party.
14. GOVERNING LAW
    This Agreement shall be governed, construed and interpreted in accordance with the laws of the Netherlands Antilles.
15. SEVERABILITY
    In the event that any provision of this Agreement, is found to be invalid, illegal or unenforceable, the validity of any of the remaining provisions shall not in any way be affected or impaired and the parties further agree to substitute for such invalid or unenforceable provision a valid and enforceable provision of similar intent and economic effect.
16. INCLUDED DOCUMENTS
    The Signup Form filled out at the Website shall be deemed incorporated by reference herein and shall form an integral part hereof.
17. LANGUAGE
    The English language full version of this Agreement shall be definitive and shall control over any translation.
